Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Pallet Rack Market LLC (“Pallet Rack Market,” “we,” “us,” or “our”). They govern your access to and use of www.palletrackmarket.com and our related iOS and Android apps (together, the “Services”).

Please read these Terms and our Privacy Policy before using the Services. By using the Services, creating an account, posting a listing, sending an inquiry, or buying a paid membership tier, you agree to these Terms. If you do not agree, do not use the Services.

1. What Pallet Rack Market Is

Pallet Rack Market is an online platform that helps users find listings and connect with one another about pallet rack, warehouse equipment, and related materials and services.

We do not sell the materials shown in user listings. We do not buy those materials. We do not act as buyer, seller, broker, dealer, merchant of record, escrow agent, payment intermediary, shipper, or fulfillment provider for transactions in listed materials.

Any negotiation, purchase, sale, payment, inspection, pickup, delivery, shipping, warranty, return, refund, or other deal involving listed materials is arranged independently by the users and occurs off the platform. Pallet Rack Market is not a party to that deal.

The only payments we collect for ourselves are fees for paid membership or account tiers and any related platform charges we expressly offer, such as paid visibility included in a subscription plan. We do not receive, process, transmit, hold, escrow, or otherwise handle payment for pallet rack or other materials advertised by users.

2. Eligibility and Accounts

The Services are intended for business users and other adults. You must be at least 18 years old to use the Services.

If you use the Services on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.

You are responsible for the accuracy of the information you provide, for keeping your password confidential, and for activity on your account. Notify us promptly if you believe your account has been misused.

We may refuse, suspend, or close an account if we believe these Terms have been violated, if we cannot verify information you provided, or if we reasonably believe the account presents a legal, security, or operational risk.

3. Listings, Inquiries, and User Content

You may submit listings, photos, descriptions, profile information, “In Search Of” inquiries, questions, quote requests, messages, and other content (“User Content”).

You are solely responsible for your User Content and for your dealings with other users. You represent that you have the rights needed to post it, that it is accurate to the best of your knowledge, and that it does not infringe anyone else’s rights or violate the law.

Do not list property you do not have the right to offer. Do not post content that is false, misleading, defamatory, infringing, obscene, or otherwise unlawful. Do not include another person’s personal information in a listing unless you have the right to do so.

Information you place in a public listing may be visible to other users and to the public, including through search engines. After users connect through the Services, they may continue the conversation off the platform. Pallet Rack Market does not control those later communications or any deal the users make.

By posting User Content, you grant Pallet Rack Market a non-exclusive, worldwide, royalty-free license to host, use, reproduce, display, adapt for formatting, and distribute that content as needed to operate, promote, and improve the Services. This license lasts as long as the content remains on the Services and for a reasonable period afterward as needed for backups, legal compliance, and dispute handling.

We may remove, refuse, or restrict User Content or listings that we believe violate these Terms or create risk to the Services or other users. We do not undertake to review all User Content and are not responsible for its accuracy, quality, safety, or legality.

4. Business Verification Badges

The Services may display a “Verified Business,” “business verification,” or similar designation on some accounts or listings.

That designation means only that the account holder submitted information we requested for that designation at the time it was issued. It is not a certification of the user’s identity, credit, inventory, authority to sell, product quality, safety, or ability to complete a transaction. It is not an ongoing monitoring program.

You deal with other users at your own risk. You should do your own diligence before sending money, releasing goods, or relying on another user.

5. Paid Membership Tiers

We may offer free access and paid membership tiers. Current plan names, prices, and features are shown on the Services and may change.

If you buy a paid tier, you authorize us and our payment processor to charge the payment method you provide for the initial term and for each renewal term until you cancel.

Paid tiers renew automatically at the then-current price unless you cancel before the renewal date. You may cancel through your account settings or by contacting us at info@palletrackmarket.com. Cancellation stops the next renewal. It does not, unless required by law, require a refund of amounts already paid for the current term.

If a charge fails, we may suspend paid features until payment is received.

If you buy a subscription through the Apple App Store or Google Play, Apple’s or Google’s terms control payment, renewal, and refund requests for that purchase. We do not process those app-store charges ourselves.

Except where the law requires otherwise, fees paid to Pallet Rack Market for membership tiers and related platform features are nonrefundable.

Taxes may apply. You are responsible for any taxes that are your obligation.

A paid membership is a fee for access to platform features. It is not a fee for selling, buying, shipping, or guaranteeing listed materials.

6. Acceptable Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

Violate any applicable law or regulation.
Impersonate Pallet Rack Market, our personnel, or another person or company.
Scrape, crawl, harvest, or use automated means to copy the Services, except for ordinary search-engine indexing.
Interfere with the operation, security, or integrity of the Services.
Attempt to access another user’s account or non-public areas of the Services.
Use the Services to send spam, malware, or deceptive communications.
Post listings or messages that promote illegal activity or stolen property.
Circumvent plan limits, badges, or other technical or commercial restrictions.

We may investigate suspected violations and cooperate with law enforcement when we believe it is appropriate.

7. Our Intellectual Property

The Services, including their design, software, text, graphics, logos, and compilation, are owned by Pallet Rack Market or its licensors and are protected by intellectual property laws. These Terms do not transfer ownership of that material to you.

You may use the Services for your internal business purposes in connection with your account. You may not copy, sell, reverse engineer, or create derivative works from the Services except as allowed by law or by our written permission.

User Content remains the poster’s property, subject to the license in Section 3.

8. Third-Party Services and Other Users

The Services may link to third-party sites or use third-party processors, app stores, maps, or hosting tools. Those services are governed by their own terms and privacy policies.

Other users are not our agents. We are not responsible for their statements, listings, products, services, or off-platform conduct.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, PALLET RACK MARKET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that listings, prices, quantities, locations, or other User Content are accurate, complete, or current.

We specifically disclaim any warranty regarding listed materials, including quality, condition, safety, title, quantity, fit, load rating, code compliance, or suitability. Any warranty on listed materials, if it exists, is solely between the users involved.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PALLET RACK MARKET AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF THE SERVICES OR ANY DEAL BETWEEN USERS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO PALLET RACK MARKET FOR PAID MEMBERSHIP TIERS IN THE TWELVE MONTHS BEFORE THE CLAIM. IF YOU PAID US NOTHING DURING THAT PERIOD, OUR TOTAL LIABILITY IS LIMITED TO ONE HUNDRED DOLLARS ($100).

We are not liable for loss arising from an off-platform purchase, sale, payment, shipment, pickup, inspection, or other dealing between users.

Some laws do not allow certain disclaimers or limits. In those cases, the disclaimer or limit applies only to the extent permitted. These Terms do not limit liability for fraud, or for gross negligence or intentional misconduct where that limit is prohibited.

If you are a New Jersey resident and a consumer protection statute such as the New Jersey Truth-in-Consumer Contract, Warranty and Notice Act applies to you, these disclaimers and limits do not waive a clearly established legal right that cannot be waived.

11. Indemnity

You will defend, indemnify, and hold harmless Pallet Rack Market and its officers, directors, employees, and agents from claims, damages, losses, and reasonable expenses (including attorneys’ fees) arising out of your User Content, your use of the Services, your violation of these Terms, your violation of law, or your off-platform dealings with another user.

12. Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules.

Before filing a claim, you and we agree to try to resolve the dispute informally by emailing info@palletrackmarket.com and allowing 30 days for a response.

Except for the claims listed below, any dispute arising out of these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules. The arbitration will take place in Bergen County, New Jersey, unless the parties agree to another location or to proceed remotely.

YOU AND PALLET RACK MARKET MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Either party may bring an individual action in small-claims court. Either party may seek injunctive or other equitable relief in court for infringement or misuse of intellectual property.

If you do not want to arbitrate, you may opt out of this arbitration provision by emailing info@palletrackmarket.com within 30 days after you first accept these Terms, with your name, account email, and a clear statement that you opt out of arbitration. If you opt out, the exclusive venue for court actions is the state or federal courts located in Bergen County, New Jersey, and you consent to that venue.

If the class-waiver or arbitration provision is found unenforceable as to a particular claim, that claim must be brought in court and the rest of this section still applies.

13. Changes, Termination, and General Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last Updated” date. If a change is material, we will provide additional notice when reasonably practicable. Continued use of the Services after the updated Terms take effect constitutes acceptance.

We may suspend or stop providing the Services, in whole or in part, at any time.

If you stop using the Services or we close your account, the provisions that should survive will survive, including Sections 1, 3, 7, 9, 10, 11, 12, and 13.

If any provision of these Terms is unenforceable, the remaining provisions stay in effect.

These Terms, together with the Privacy Policy and Copyright Policy, are the entire agreement between you and Pallet Rack Market concerning the Services. They replace prior terms covering the same subject.

You may not assign these Terms without our consent. We may assign them in connection with a reorganization, merger, or sale of assets.

Our failure to enforce a provision is not a waiver.
